CONCLUSION OF THE SALE<br\/>Any order for products from PECTA \u2013 Distribui\u00e7\u00e3o de Equipamentos, Unipessoal, Lda. (hereinafter referred to as \u2018PECTA\u2019), with NIPC 515672530, from any source, implies acceptance of these general conditions of sale. These conditions replace any other general conditions of sale, whatever their terms may be, and cancel any contrary clause that may appear in contracts, documents or correspondence from the purchaser.<br\/>It is understood that if any clause contained in the purchaser&#8217;s contracts, documents or correspondence that conflicts with the application of these general terms and conditions of sale is contrary to the provisions of these general terms and conditions of sale, it shall be considered null and void by PECTA.<br\/><br\/><br\/>2. ACCEPTANCE OF ORDERS<br\/>Orders are processed upon agreement on the price, delivery terms and volume of items.<br\/><br\/><br\/>3. PRICES<br\/>Product prices are set by the price list in force on the day the order is placed; these are commercial prices and are subject to the provisions of Article 2. They are defined under current economic conditions and PECTA reserves the right to modify them at any time without prior notice if these conditions fluctuate.<br\/><br\/><br\/>4. PAYMENT TERMS<br\/>The only valid bank details for PECTA are those indicated on our invoices.<br\/>4.1. Payment limit<br\/>Our invoices are dated the next working day after dispatch. After credit has been granted, payments are due by bank transfer within 30 days of the date of issue. <br\/>4.2. Advance payment<br\/>0.3% discount for advance payment.<br\/>4.3. Penalties for late payment<br\/>For any late payment, in whole or in part, late payment penalties will be applied in the same amount as the amount resulting from the application of a rate equal to the interest rate applied by the European Central Bank, plus 10 percentage points, calculated monthly. Furthermore, all late payments will result in the Customer paying a fixed debt recovery fee of 15% of the total invoice amount and, in all cases, a minimum amount of \u20ac40.<br\/><br\/><br\/>5. DELIVERY<br\/>5.1 Incoterm<br\/>The delivery conditions are governed by the Incoterm in force on the date of our order confirmation. In the absence of a delivery condition specifically agreed in the order confirmation, delivery is considered FCA at our warehouse in Cedrim, Portugal. <br\/>5.2. Delivery conditions<br\/>Delivery conditions may be subject to shipping costs, which will be determined based on the order value, delivery destination, and any customs and administrative fees.<br\/>5.3. Transfer of risk<br\/>If the goods are collected or delivered, they will travel at the buyer&#8217;s risk.<br\/>If transport is included in the price, PECTA, together with its service providers, will assume the risk during transport, depending on the agreed Incoterm and provided that the buyer checks the number and condition of the packages in the presence of the carrier and notes any reservations on the delivery document, which they must sign and have signed by the carrier or their agent, and confirm these reservations by registered letter within 2 days.<br\/>Without prejudice to the provisions to be taken in relation to the carrier, any complaint about apparent defects or non-conformity of the goods delivered must be made by registered letter with acknowledgement of receipt within 48 hours of receipt of the goods.<br\/>Once this period has elapsed, no complaint relating to such defects will be considered.<br\/>5.4. Delayed delivery<br\/>Regardless of the agreed delivery date, no compensation can be claimed for delayed delivery, unless otherwise agreed by us.<br\/>If the order requires assembly, specific work or any other individual requirements, delivery is subject to a feasibility study and the delivery time may be extended.<br\/>In any case, delivery within the delivery period or release of the goods can only be made if the buyer is in compliance with their payment obligations to our company.<br\/>We reserve the right to make full or partial delivery of the order. If the delivery is partial, it will be considered a complete commercial transaction. <br\/>Payment will be required in proportion to the quantity delivered. <br\/>5.5. Returns<br\/>5.5.1. No returns of goods will be accepted unless a complaint has been made and accepted by us in advance. <br\/>5.5.2. If we agree, the goods must be returned within 15 days of the date of our agreement in their original packaging or in packaging identical to the original. <br\/>If the complaint is justified, the returned goods will be replaced or a credit note will be issued, at our discretion. <br\/>The buyer is solely responsible for any damage caused to the goods resulting from their storage in abnormal conditions or conditions incompatible with their nature. <br\/>5.5.3. Deduction<br\/>Returns under these conditions will result in a minimum deduction of 25% for restocking, if the goods can be sold as is. Otherwise, the goods must be examined to establish the value of the additional deduction for reconditioning and refurbishing the products. <br\/> <br\/>6. RETENTION OF TITLE<br\/>PECTA retains title to the goods delivered until their cost is<br\/>entered in PECTA&#8217;s accounts. <br\/>During the period of reserved ownership, as the risks are transferred upon delivery, the buyer, as the recipient, must insure the goods against all risks of damage or liability. <br\/>The purchaser, who is authorised to sell the delivered goods in the normal course of their business, is obliged to inform our Company immediately of any seizure on behalf of third parties of goods that have been delivered under retention of title. <br\/>In the event of non-payment of part or all of any of the agreed instalments for the cost, and eight days after total or partial failure to respond to a formal warning by registered letter, the sale may be cancelled as of right if PECTA deems it appropriate, without prejudice to any damages and interest claimed from the buyer. The goods shall be made available to PECTA immediately, unless PECTA requires their return at the purchaser&#8217;s expense. The return of the goods does not mean the cancellation of the sales contract. The amounts already paid by the buyer will be retained as initial damages and interest, without prejudice to any other damages.<br\/>These provisions do not prevent the transfer to the buyer of the risk of loss or deterioration of the products sold or any damage they may cause, as set out in Article 5 above.<br\/><br\/><br\/>7. FORCE MAJEURE<br\/>PECTA shall be exempt from its obligations for any event beyond its control that prevents or delays the delivery of the products and that is contractually equivalent to force majeure. This will cover, in particular, events occurring internally or with our subcontractors, such as: lockouts, strikes, fires, epidemics, embargoes, accidents, especially involving tools, machine breakdowns, transport interruptions or delays, the inability to obtain purchases, defects in raw materials or any other event beyond our control that leads to the partial or total dismissal of PECTA employees or our suppliers or subcontractors.<br\/><br\/><br\/>8. INTELLECTUAL PROPERTY RIGHTS<br\/>The purchaser undertakes to respect all PECTA intellectual property rights of which they declare to be aware.<br\/><br\/><br\/>9. WARRANTY<br\/>For normal use, our warranty shall be limited to the replacement of parts recognised as defective within two years or more, depending on the warranty extensions applicable to certain product ranges, without us being liable for any claims for compensation. The costs of dismantling, return transport and reassembly are excluded from the warranty.<br\/><br\/><br\/>10. SPARE PARTS<br\/>When a product we supply is discontinued by PECTA or its manufacturer, PECTA is not responsible for providing any after-sales service.<br\/><br\/><br\/>11. RECOMMENDATIONS<br\/>Any advice or guidance, technical recommendations or proposals that we may give or make do not imply any warranty on our part. It is not our responsibility to evaluate the specifications or descriptions provided. It is the customer&#8217;s responsibility to verify that the equipment is suitable for operation under actual conditions of use.<br\/><br\/><br\/>12. JURISDICTION \u2013 APPLICABLE LAW<br\/>12.1. It is expressly agreed that exclusive jurisdiction for all disputes between the parties during their commercial relations shall be attributed to the Portuguese courts, in particular the Judicial Court of the District of Aveiro, regardless of the place of delivery, the method of payment accepted, or even for claims under warranty or when there are several defendants. <br\/>12.2. Relations with the buyer shall be governed by Portuguese law. <br\/>If these conditions are translated into a foreign language, the text written in Portuguese shall be the only one that shall have authentic value. <\/p><\/div>\n","protected":false},"excerpt":{"rendered":"<p>1.
